These terms apply when you use Vendsta, an online service for eBay sellers at vendsta.com and app.vendsta.com (the "service"). Vendsta is a UK business, and "we" or "us" means Vendsta. By creating an account or using the service, you agree to these terms. If you don't agree, please don't use the service.

The service

Vendsta connects to your eBay account to show sales reports and profit, send automatic messages to your buyers, leave feedback, track stock and send alerts and digests.

Vendsta is not part of eBay and isn't endorsed by eBay. The service depends on eBay's systems, so some features may stop working or change if eBay changes or limits them.

We keep improving Vendsta, so features may be added, changed or removed over time.

Your account

  • You must give accurate details when you sign up and keep them up to date.
  • You're responsible for keeping your password safe and for everything done through your account, including by team members you invite. We recommend turning on two-factor authentication.
  • Please tell us straight away if you think someone has used your account without permission.

Connecting your eBay account

When you connect an eBay account, you authorise Vendsta to read its data and to act on it as you set up. This includes sending messages to your buyers and leaving feedback. You can disconnect an eBay account at any time in Settings, or remove Vendsta's access through eBay.

You're responsible for:

  • the messages and feedback you set Vendsta to send;
  • following eBay's rules and policies when you do, including eBay's rules on messages and feedback;
  • having the right to use your buyers' data as Vendsta does on your behalf.

We aren't responsible for action eBay takes on your account.

Free trial

New accounts get a free trial. You don't need a card to start one. At the end of the trial, you'll need to choose a plan to keep using Vendsta.

Plans and payment

  • Pricing: plans are priced by the average number of orders your eBay accounts get each month. You can pay monthly or yearly.
  • Payment: you pay in advance for each billing period. Payments are taken by card through Stripe.
  • Automatic plan changes: if your average monthly orders move outside your plan's range, we'll move you to the plan that matches. We'll email you before the change takes effect.
  • Price changes: we may change our prices. If we do, we'll tell you by email at least 30 days before your price changes.
  • Failed payments: if a payment fails and isn't resolved, we may cancel your subscription.

Cancelling

You can cancel at any time in Settings, or by contacting us. Cancelling stops future payments, and you keep access until the end of the period you've already paid for. If you can't log in to cancel, for example because your eBay account has been suspended, contact us and we'll cancel it for you.

Your data

Your data belongs to you. You can export it from the app at any time.

When your trial or subscription ends, your eBay accounts' data is deleted automatically after 30 days. If you want to keep a copy, export it before then.

Our Privacy Policy explains how we handle personal data. We may use anonymous, combined statistics about how Vendsta is used to improve the service. These never identify you or your buyers.

Processing your buyers' data

For the personal data of your buyers, you are the controller and Vendsta is your processor. These terms form our data processing agreement, and we will:

  • only process the data to provide the service, and on your instructions as given through your settings;
  • make sure anyone who can access the data is bound to keep it confidential;
  • keep the data secure with appropriate technical and organisational measures;
  • only use the service providers listed in our Privacy Policy, update that list before adding a new one, and hold each of them to the same standards;
  • help you respond to requests from your buyers to use their data protection rights;
  • tell you without undue delay if we become aware of a breach affecting the data;
  • delete the data when the service ends, as described above;
  • give you the information you reasonably need to show you're meeting your own data protection obligations.

Acceptable use

You must not:

  • use Vendsta to send spam, or anything unlawful, abusive or misleading;
  • try to access accounts or data that aren't yours;
  • try to get around the limits of your plan;
  • interfere with the service, overload it, or copy or scrape it with automated tools;
  • introduce viruses or other harmful code.

Attacking or gaining unauthorised access to our systems may be a criminal offence under the Computer Misuse Act 1990. We will report it to the authorities.

Suspending or closing accounts

We may suspend or close an account straight away if it breaks these terms, if a payment isn't made, or if the law or eBay requires it. Otherwise, if we decide to stop providing the service to you, we'll give you at least 30 days' notice by email so you can export your data.

Availability

We work hard to keep Vendsta running smoothly, but we can't promise it will always be available or free of errors. It may be unavailable at times, for example during maintenance or when eBay's systems are down.

Liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that can't be limited by law.

Otherwise, we aren't liable for:

  • loss of profits, sales, business or goodwill;
  • any indirect or consequential loss;
  • action eBay takes on your account, or messages and feedback sent as you set up.

Our total liability to you is limited to the amount you've paid us in the 12 months before the claim.

If you use Vendsta as a consumer, rather than for a business, these limits don't affect your statutory rights.

Our website and content

We own the Vendsta service, website and content, including the software, design and guides. You may use them for running your eBay business, but not copy or resell them.

Changes to these terms

We may update these terms from time to time. We'll post changes on this page and update the date at the top. For significant changes, we'll email you at least 30 days before they take effect. If you don't agree with a change, you can cancel before it takes effect.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear any dispute about them. If you're a consumer living elsewhere in the UK, you can also bring a claim in your local courts.
